1. Introduction

Welcome to ModelXpert AI Platform. ModelXpert is an AI aggregation platform that provides unified access to multiple premium AI models.

By accessing or using ModelXpert through our website, you ("User," "you," or "your") agree to be bound by these Terms & Conditions.

If you do not agree with any part of these terms, you must immediately discontinue use of the Platform.

2. Services Provided

ModelXpert provides a unified platform for accessing multiple premium AI models and services, including but not limited to:

• ChatGPT (GPT-5 series models including reasoning variants)
• Claude (Sonnet 4.5, Sonnet 4, and Haiku 3)
• Google Gemini (2.5 Pro and Flash variants)
• Grok (Grok-4 and other variants)
• DeepSeek (Chat and Reasoner models)
• Perplexity (Sonar and Sonar Pro models including reasoning models)

Additional features include:

• Side-by-side model comparison
• Super Xpert auto-selection (AI-powered model selection)
• Prompt Enhancer tool
• Custom Instructions system
• AI Image Generation and Editing
• Image Analysis and Understanding

Your subscription includes an allocation of 8 Million total tokens (6 Million Input + 2 Million Output) per billing cycle, with varying consumption rates for Standard and Premium models as detailed in our Token Usage Policy.

3. Subscription Plans & Pricing

ModelXpert offers the following subscription plans:

• Monthly Plan: $20 USD per month
• Yearly Plan: $200 USD per year (equivalent to $16.67/month - Save 17%)

• All prices are in USD and may be subject to applicable taxes based on your jurisdiction
• Yearly subscriptions include 2 months free compared to monthly billing

4. Payment Processing & Billing

Payments are processed through secure third-party payment processors. By subscribing, you authorize us to charge your designated payment method on a recurring basis according to your chosen plan.

• You must provide accurate and complete billing information
• You are responsible for maintaining valid payment information
• Failed payments may result in service interruption or account suspension
• Subscriptions automatically renew unless cancelled before the renewal date
• We do not store your credit/debit card information on our servers

5. Cancellation Policy

• You may cancel your subscription at any time from your account settings
• Cancellation prevents future billing but does not provide refunds for the current cycle
• You retain access to ModelXpert until the end of your paid billing period
• Upon cancellation, your token allocation and custom settings remain accessible until subscription expiry
• Cancelled accounts can be reactivated by resubscribing at any time

6. Token Usage Policy

Token Consumption Rates

• Standard Models: Counted at 1x actual usage (except Perplexity models at 2.5x)
• Premium Models: Counted at 4x actual usage (except Perplexity Sonar Pro at 6x)
• Image Generation: Counted at 6x actual usage (approximately 7,800 counted tokens per image)

Token Characteristics

• Tokens reset at the start of each new billing cycle
• Unused tokens do not carry over to subsequent billing periods
• Tokens have no monetary value and cannot be transferred, sold, or exchanged
• Token allocations may be adjusted with advance notice as we optimize our service
• When tokens are exhausted, service access may be limited until the next billing cycle

7. Intellectual Property Rights

ModelXpert Platform

All aspects of the ModelXpert platform, including but not limited to the website, interface design, logos, branding, Super Xpert selection system, and Prompt Enhancer tool, are the exclusive intellectual property of ModelXpert and protected by applicable copyright, trademark, and intellectual property laws.

User-Generated Content

You retain ownership rights to your input prompts and the outputs generated through ModelXpert, subject to the terms and conditions of the underlying AI providers and applicable law.

Restrictions

You may not:

• Copy, modify, or reverse-engineer any part of the ModelXpert platform
• Use the ModelXpert name, logo, or branding without written permission
• Create derivative works based on ModelXpert's proprietary features
• Remove or alter any copyright, trademark, or proprietary notices

8. Acceptable Use Policy

You agree to use ModelXpert responsibly and in compliance with all applicable laws. You may NOT:

Prohibited Activities

• Use the service for any illegal purpose or to violate any laws or regulations
• Generate, share, or distribute illegal, harmful, abusive, hateful, or discriminatory content
• Create content that infringes on intellectual property rights, privacy rights, or publicity rights
• Attempt to manipulate, bypass, or exploit token allocation systems
• Share, sell, or transfer your account credentials to others
• Use automated systems (bots, scripts) to access the service without authorization
• Attempt to reverse-engineer, hack, or interfere with the platform's operation
• Use ModelXpert to develop competing AI aggregation services
• Overload our systems with excessive requests or attempt denial-of-service attacks
• Impersonate others or provide false information
• Collect user data from the platform without authorization

Consequences

Violations of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account without refund, and may be reported to appropriate authorities when legally required.

9. Content Ownership & Usage Rights

Your Rights to Outputs

Subject to compliance with these Terms and the terms of our third-party AI providers, you own the outputs you generate using ModelXpert and may use them for personal or commercial purposes.

Third-Party Provider Terms

ModelXpert integrates AI models from OpenAI, Anthropic, Google, xAI, DeepSeek, and Perplexity AI. Your use of outputs is subject to each provider's respective terms of service. You are responsible for understanding and complying with their policies.

No Warranty on Outputs

We make no representations or warranties regarding:

• The accuracy, completeness, or reliability of AI-generated outputs
• Freedom from copyright, trademark, or other intellectual property claims
• Suitability for any particular purpose
• Compliance with industry-specific regulations or standards

It is your sole responsibility to review, verify, and ensure that outputs are appropriate for your intended use and do not infringe on third-party rights.

Limited License to ModelXpert

By using ModelXpert, you grant us a non-exclusive, royalty-free, worldwide license to process and temporarily store your inputs and outputs solely for the purpose of providing our services, improving our platform, and ensuring compliance with our Terms. We do not claim ownership of your content.

10. Third-Party AI Services

ModelXpert acts as an intermediary platform that integrates multiple third-party AI services. Important disclosures:

• We do not own or control the AI models provided by OpenAI, Anthropic, Google, xAI, DeepSeek, or Perplexity AI
• Each AI provider has their own terms of service, privacy policies, and acceptable use policies
• The availability, performance, and capabilities of specific AI models depend on the third-party providers
• We are not responsible for changes, limitations, or discontinuation of third-party AI services
• Your prompts and data are transmitted to the respective AI providers based on your model selection

11. Service Availability & Limitations

We strive to provide reliable access to ModelXpert, but we cannot guarantee uninterrupted service:

• Services may be temporarily unavailable due to maintenance, updates, or technical issues
• Third-party AI providers may experience downtime or service limitations
• We may implement rate limiting to ensure fair usage across all users
• Feature availability may vary based on your subscription tier and token allocation
• We reserve the right to modify, suspend, or discontinue any feature with reasonable notice

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MODELXPERT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the service
• Damages arising from third-party AI service failures or limitations
• Damages from unauthorized access to your account or data
• Damages from errors, inaccuracies, or harmful content in AI outputs

IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO MODELXPERT IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability will be limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ModelXpert, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use or misuse of ModelXpert
• Your violation of these Terms & Conditions
• Your violation of any third-party rights, including intellectual property rights
• Your violation of applicable laws or regulations
• Content you generate, share, or distribute using ModelXpert

14. Age Requirements & Parental Consent

• ModelXpert is intended for users who are at least 18 years of age
• Users between 13-17 years of age may use the service only with verifiable parental or legal guardian consent
• We do not knowingly collect personal information from children under 13
• If we discover that a user under 13 has provided personal information, we will delete such information promptly
• Parents or guardians are responsible for monitoring and supervising minors' use of ModelXpert

15. Account Suspension & Termination

By ModelXpert

We reserve the right to suspend or terminate your account immediately, without notice or refund, if:

• You violate these Terms & Conditions
• You violate our Acceptable Use Policy
• Your payment fails or you provide fraudulent payment information
• We are required to do so by law or regulation
• We reasonably believe your account poses a security risk

By You

You may terminate your account at any time by cancelling your subscription through account settings. Upon termination:

• Your access will continue until the end of your paid billing period
• Your data may be retained as outlined in our Privacy Policy
• You may request data deletion in accordance with our Privacy Policy

16. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make changes:

• We will update the "Effective Date" at the top of this document
• We will notify you via email or through the platform for material changes
• Your continued use of ModelXpert after changes constitutes acceptance of the modified Terms
• If you do not agree with the modifications, you must cancel your subscription

17. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from these Terms or your use of ModelXpert:

• You agree to first attempt to resolve the dispute informally by contacting our support team
• If informal resolution fails, disputes shall be resolved through binding arbitration
• You waive your right to participate in class action lawsuits or class-wide arbitration

Some jurisdictions do not allow arbitration agreements. If arbitration is not enforceable in your jurisdiction, disputes shall be resolved in the appropriate courts.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and Token Usage Policy, constitute the entire agreement between you and ModelXpert regarding your use of the service and supersede all prior agreements and understandings.
